1. Acceptance of Terms
By accessing or using the Nexmatic website (nexmatic.ca) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Description of Services
Nexmatic provides automation and operational support services for small and medium-sized businesses in Ontario, Canada. Our services include, but are not limited to:
- Bookkeeping and invoicing automation
- Social media management
- SEO and content creation
- Grant searching and writing
- CRM and inventory management
- Custom automation development
The specific services provided to each client are outlined in their individual service agreement.
3. Service Tiers and Pricing
Our services are offered in three tiers (Tier 1, Tier 2, Tier 3) as well as custom automation add-ons. All prices are in Canadian dollars (CAD) and are subject to applicable taxes.
- Month-to-month plans may be cancelled with 30 days' written notice.
- Annual plans require a 12-month commitment. Early termination fees may apply.
- Pricing is subject to change with 60 days' written notice.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information during onboarding
- Grant necessary access to tools, platforms, and systems required for service delivery
- Respond to requests for information or approval in a timely manner
- Maintain the confidentiality of any login credentials shared
- Use our services in compliance with all applicable laws and regulations
5. Intellectual Property
- Our IP: The Nexmatic name, logo, website design, automation frameworks, and proprietary processes remain our intellectual property.
- Your IP: All content, data, and materials you provide remain your property.
- Work Product: Custom automations, content, and deliverables created for you as part of our services become your property upon full payment, except for our underlying frameworks and tools.
6. Confidentiality
We treat all client information as confidential. We will not disclose your business information, data, or operational details to third parties except:
- With your written consent
- As required by law
- To service providers bound by confidentiality agreements who assist in delivering our services
This confidentiality obligation survives termination of the service relationship.
7. Payment Terms
- Invoices are issued monthly and are due within 15 days of the invoice date.
- Late payments may incur a fee of 1.5% per month on the outstanding balance.
- We reserve the right to suspend services for accounts more than 30 days overdue.
- All fees are non-refundable unless otherwise stated in your service agreement.
8. Satisfaction Guarantee
Your first month of service is satisfaction-guaranteed. If you are not satisfied with the value delivered during your first month, contact us within 7 days of the first month's end, and we will work with you to resolve the issue or provide a credit toward future services.
9. Limitation of Liability
To the maximum extent permitted by law:
- Nexmatic shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claim arising from our services shall not exceed the fees paid by you in the three months preceding the claim.
- We are not liable for delays or failures caused by factors outside our reasonable control, including but not limited to third-party service outages, internet disruptions, or force majeure events.
10. Use of AI and Automation
Our services utilize artificial intelligence and automation tools to deliver efficient results. By engaging our services, you acknowledge that:
- AI tools are used as part of our workflow
- All AI-generated outputs are reviewed and monitored by our team
- We continuously optimize and maintain automated systems
- Results may vary based on the nature and complexity of each task
11. Termination
Either party may terminate the service relationship:
- Month-to-month: With 30 days' written notice
- Annual plans: Subject to the terms of the annual commitment
- Immediate termination: We reserve the right to terminate services immediately if you breach these terms, engage in illegal activity, or fail to pay for more than 60 days
Upon termination, we will provide you with all your data and materials within 30 days.
12. Website Use
When using our website, you agree not to:
- Attempt to gain unauthorized access to our systems
- Use automated tools to scrape or collect data from our website
- Upload malicious code or interfere with website functionality
- Misrepresent your identity or affiliation
13. Governing Law
These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
14. Changes to These Terms
We may update these Terms of Service from time to time. Material changes will be communicated via email or posted prominently on our website. Your continued use of our services after changes constitutes acceptance of the revised terms.
